Terms of Service

The agreement between you and us: what you get, what you pay, what happens to prepaid AI credit, and how either of us can end it.

Who this agreement is between

These terms are between you and CRM Forge (AlgoForgeX LLC, a Texas limited liability company), whose registered address is 13423 Blanco Road, San Antonio, TX 78216, USA. Creating an account means you accept them, and the version you accepted is recorded on your account.

If you are accepting these terms for a company, you are confirming that you may bind it, and you and it are both bound.

Your account

One person, one account. Give us an address you can receive mail at, keep your password to yourself, and tell us if you think somebody else has it. What happens under your account is your responsibility.

We may refuse or close an account that is being used to break these terms or the acceptable use policy.

Workspaces, seats and who owns what

Your account holds one or more workspaces and pays for a number of seats. A seat is a person who can sign in and use a workspace on your account.

The records you put into a workspace stay yours. We do not sell them, we do not share them beyond the sub-processors listed on our sub-processor page, and we do not use them to train AI models. What we do with them is run the product for you.

You give us the permission we need to store, copy and display your records for the purpose of providing the service, and for nothing else.

Plans, seats and payment

Paid plans are priced per seat per month, monthly or annually, and are taken by our payment processor. Prices exclude any tax that applies where you are.

Adding a seat takes effect immediately and is charged from that point. Removing one takes effect at your next renewal. Changing plan takes effect as your billing page describes at the time you change it.

The free plan gives you $5.00 of AI to try, no exports, upgrade to add credits. That is the whole of it, stated here so it is not something you find out at a refusal.

Prepaid AI credit

AI features are paid for out of a prepaid credit balance on your account, bought in packs. This section says exactly what that balance is and is not.

A credit is a prepaid balance denominated in United States dollars that pays for AI usage inside this product. It is not money held on deposit for you, it is not a stored-value instrument, it cannot be redeemed for cash and it cannot be transferred to another account.

Your balance has two parts and they are not the same thing. Purchased credit is credit you bought and paid for. Showcase credit is credit we gave you so you could try the product, and you paid us nothing for it. Both of them pay for the same features; what differs is what each one costs you to spend, and what can be done with it afterwards.

Credit does not expire. A balance you bought is still there next year, whether or not you used the product in between, and that is true of a frozen balance as well as a spendable one.

Credit is consumed as you use AI features. Purchased credit is charged at a small multiple of what the model provider charges us for the same work, and the multiple covers the cost of running the feature around the model call. Showcase credit is charged at what the provider charges us, with no multiple added, because a showcase is there to show you what the product does rather than to be sold to you. Once your showcase credit is spent, runs are charged at that same multiple whether or not you have bought credit yet. Your usage page shows what each run cost you before you spend anything else.

Buying more credit requires a Pro plan or above, and an account currently on it. While yours is not on a paid plan we do not take the money: a top-up is refused at the point of purchase and the upgrade is named, rather than sold to you and frozen the moment it arrives.

The showcase credit is granted once per person, matched on the confirmed email address, rather than once per account or once per registration. Registering a second time with the same address creates the account and grants no second credit, and nothing in the product promises you one before it knows.

Unspent purchased credit is refundable on request within 30 days of the purchase that bought it, at our discretion, refunded by hand to the payment method you used. We refund what is still in your purchased balance. If a run has already taken that balance to zero or below there is nothing left to refund, and a run that overran your showcase credit is our cost and never reduces what we give back. After 30 days it stays as credit, which you can still spend but can no longer have back as money.

Showcase credit is never refunded and can never be paid out in money, on request or otherwise. It was a grant rather than a purchase, so there is nothing of yours to give back.

Unspent credit is not forfeited if you cancel. Purchased credit stays on your account, and while the account is not on a paid plan it is frozen: the balance is still yours and we still show it to you, and it cannot be spent until the account is on a paid plan again. That covers a cancelled plan, a lapsed one and a renewal we could not collect, not only the free plan. Moving back to a paid plan unfreezes the whole of it, and nothing is lost by the wait.

Acceptable use

Our acceptable use policy is part of these terms. It says what you may not do with the product, and it passes on two sets of obligations that bind you rather than us: our AI provider's rules about how their model may be used, and the law that governs the mail you send through the product.

Availability, support and changes

We aim to keep the service available and we do not promise a particular uptime figure. Support is by email, at the address on our contact page.

We ship changes continuously and new capabilities arrive switched off and are turned on deliberately. If we remove a capability you rely on, or change these terms materially, we tell account owners before it takes effect.

Ending the agreement

You can cancel at any time from your billing page. Cancelling stops the next charge; it does not refund the period you already paid for, and it does not take your credit balance away. What happens to that balance is in the prepaid AI credit section above.

We can suspend or end an account that breaks these terms or the acceptable use policy, or that has not paid. Where the reason allows it we tell you first and give you a chance to fix it.

After an account ends you have a reasonable period to export your data before it is deleted. Export is a paid-plan capability, so plan the export before you downgrade.

Warranties and liability

The service is provided as it is. We do not warrant that it will be uninterrupted or error free, and we do not warrant that anything an AI feature produces is correct. AI output is a draft for a person to check, and these terms require you to check it.

Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue or data. Our total liability to you in any twelve month period is limited to what you paid us in that period. Nothing here excludes liability that cannot lawfully be excluded.

Governing law

These terms are governed by the laws of the State of Texas, USA, and the courts of Texas, USA.
